General

Proprietary Rights

1. This Site is owned, operated and maintained by Realtek Singapore Private Limited ("Realtek").
2. All of the contents, including text, images, product descriptions, illustrations, design, software files and audio and video materials ("Materials"), contained in this Site are protected by copyright, trademark and other forms of proprietary rights. All rights, title and interest in the Materials are owned by, licensed to or controlled by Realtek and are provided by Realtek subject to your compliance with the terms and conditions set out herein.
3. You may not distribute, modify, reproduce, create derivative works from, decompile, reverse engineer or otherwise deal with in any way or use any Materials, in whole or in part, without the prior written consent of Realtek.

Your Use of the Site

4. You shall be solely responsible for the set-up, configuration or compatibility of your hardware, equipment and software for access to the Site and you shall provide at your own expense all facilities or resources necessary for such proper access. Without prejudice to the foregoing, you shall not create any circumstances whereby other users are affected in their access to, and use of, the Site.
5. You may only use the Site in accordance with these Terms of Use and, in any event, for lawful and proper purposes which includes complying with all applicable laws, regulations and codes of practice within Singapore or other jurisdictions from which you are accessing this Site. In particular, you agree that you will not use the Site to send, post, promote or transmit on any place on the Site, any message or material that (i) is unlawful, harassing, libellous, defamatory, abusive, threatening, harmful, hateful, vulgar, obscene, profane, racially, religiously or ethnically offensive or otherwise as determined by Realtek in its sole discretion to be objectionable; (ii) is protected by any intellectual property right without obtaining permission of the relevant intellectual property right owner; (iii) contains computer viruses or other disruptive programs. Realtek reserves the right to delete any such material from the Site.
6. By accessing the Site, you agree to comply with and observe all applicable laws, regulations and directives including without limitation the laws of the Republic of Singapore and the country in which you reside, in connection with your access to, and use of, the Site.
7. Realtek reserves all rights to deny or restrict access to this Site to any particular person, or to block access from a particular Internet address to this Site, at any time, without ascribing any reasons whatsoever.

Trademark Information

8. Any logos, trade names, service marks, trademarks and other brand features (collectively referred to as "Trademarks") displayed on the Site are the property of Realtek or their respective owners.
9. Nothing on the Site shall be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademarks displayed on this Site without the prior written consent of Realtek or such party that may own the Trademarks. References to third-party names or Trademarks are for identification purposes only and do not imply any endorsement, sponsorship or affiliation. You agree not to remove, alter or obscure any proprietary notices appearing on the Site or Materials. The absence of a product or service name or logo anywhere in the text of this Site does not constitute a waiver of any trademark or other intellectual property rights concerning that name or logo. All other products and brand names are trademarks and/or registered trademarks of their respective companies.

In the event you download any software from the Site, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software"), your use of the Software is subject to the license terms in the license agreement that accompanies the Software ("License Agreement"). You own the medium on which the Software is recorded, but Realtek retains full and complete rights, title and interest in and to the Software, and all intellectual property rights therein. You shall not redistribute, sell, decompile, reverse engineer, disassemble, or otherwise attempt to derive the Software to a human-readable form (e.g. source code). You are responsible for complying with all applicable export control and re-export restrictions. The Software may contain open-source components that are subject to their own licence terms, which shall prevail to the extent of any inconsistency.

Realtek's Products

11. Features and specifications of any and all goods and services advertised and/or promoted by Realtek on the Site are subject to change at any time without notice.

Confidentiality

12. You may receive information from Realtek which is confidential (whether or not marked as such). You shall take all reasonable efforts to protect the confidentiality of such information. Realtek may require you to delete or return any such confidential information when it deems fit, and you shall use your best endeavours to comply with such requirement within a reasonable period. Notwithstanding the foregoing, you may disclose confidential information to the minimum extent required by applicable law, regulation or a competent authority, provided that, where lawful, you give Realtek prompt notice and reasonably cooperate to seek protective measures and confidential treatment. If notice is legally prohibited, you shall disclose only as strictly required and maintain reasonable confidentiality safeguards. This clause will survive any termination or expiration of these Terms of Use.

Third Party website, companies and products

13. From time to time, the Site may include links to other websites. Such links are provided for your convenience only. Realtek does not control and is not responsible for the content, policies or practices of these other websites, and the inclusion of any link does not imply endorsement by Realtek. Your use of these other websites is at your own risk and subject to their terms and policies. Realtek makes no representations or warranties of any kind in respect of these other websites, in particular, Realtek make no representation or warranty that these other websites do not infringe the intellectual property rights of any person. Realtek is not authorising the reproduction of material found on these other websites. Realtek reserves the right to terminate any link to the linked websites at any time.
14. Mention of third-party products or companies on this Site is for informational purposes only and constitutes neither an endorsement nor a recommendation. Realtek makes no representations regarding the quality, safety or suitability of any products by third party companies. All third-party products must be ordered directly from the relevant third-party vendor and all licenses and warranties, if any, are made between you and the relevant third-party vendor.

Electronic Communications, Feedback and Marketing

15. When you visit the Site or send feedback to Realtek, including questions, comments, suggestions or the like regarding or in response to the content of this or any other Realtek website, you are communicating with Realtek electronically. You consent to receive communications from Realtek electronically. Realtek will communicate with you by e-mail for service notices and transactional or customer support messages. Such transactional communications are not affected by your marketing preferences. Realtek will only send marketing or promotional communications to you where Realtek has obtained your explicit consent in advance, and you may withdraw such consent at any time by using the unsubscribe link in our e-mails or by contacting us. You agree that all agreements, disclosures and other communications that Realtek provides to you electronically satisfy any legal requirement that such communications be in writing. Unless otherwise agreed in writing, and subject to applicable law and our Privacy Policy, Realtek may use feedback on a de- identified basis for service improvement and internal research, and Realtek does not claim any rights in your original content beyond those necessary to implement your feedback. The foregoing does not override any separate confidentiality or licensing terms agreed in writing between you and Realtek.

Disclaimer

16. All Site Materials on, or accessible from, this Site is provided "as is" without warranty of any kind, either express or implied. To the fullest extent permitted by law, Realtek hereby disclaims any warranty:
    1. As to the accuracy, correctness, completeness, reliability, timeliness, non- infringement, title, merchantability or fitness for any particular purpose of the Materials; and
    2. That this Site and/or the Materials or any functions associated therewith will be uninterrupted or error-free, or that defects will be corrected or that this Site and the server is and will be free of all viruses, worms and/or other harmful or invasive elements.

    Nothing in these Terms of Use excludes or limits any warranties or rights that cannot be excluded or limited under applicable law.

Indemnity and Limitation of Liability

17. Do note that Realtek, its subsidiary, affiliate, officer, employee or agent does not accept liability for the security, authenticity, integrity or confidentiality of any transactions and other communications made through our Site. Internet communications may be susceptible to interference or interception by third parties. Realtek, its subsidiary, affiliate, officer, employee or agent cannot make any warranties that this Site is free of infection by computer viruses or other unauthorised software.
18. Subject to applicable law, without prejudice to the other provisions of these Terms of Use and to any other rights and remedies which Realtek, its subsidiary, affiliate, officer, employee or agent may possess, you hereby agree to indemnify and hold Realtek, its subsidiary, affiliate, officer, employee and agent harmless at all times against all actions, proceedings, costs, claims, expenses (including all legal costs on a full indemnity basis), demands, liabilities, losses (whether direct, indirect or consequential) and damages (whether in tort, contract or otherwise) whatsoever and howsoever arising which Realtek, its subsidiary, affiliate, officer, employee or agent may sustain, incur, suffer or pay arising out of, in connection with or pursuant to your access to and/or your use of the Site, to the extent arising from your breach of these Terms of Use, your violation of applicable law, or your infringement of third-party rights. This indemnity does not apply to the extent any claim arises from Realtek's wilful misconduct or gross negligence.
19. To the maximum extent permitted by applicable law, under no circumstances will Realtek, its subsidiary, affiliate, officer, employee or agent be liable for any loss or damage arising from your access to, use of, or inability to use this Site, or from the downloading of any materials from the Site, even if Realtek, its subsidiary, affiliate, officer, employee or agent has been advised of the possibility of such damages and Realtek, its subsidiary, affiliate, officer, employee or agent shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or relating to your use of, or access to, the Site. Nothing in these Terms of Use excludes or limits liability for death or personal injury caused by negligence, fraud, wilful misconduct, gross negligence, or any other liability that cannot be excluded or limited under applicable law. Subject to the foregoing, and to the extent permitted by law, the total aggregate liability of Realtek, its subsidiary, affiliate, officer, employee and agent to you for any and all claims (including but not limited to damages, losses, or causes of action—whether in contract, tort (including negligence), or otherwise) arising out of or relating to the Site shall not exceed the lesser of: (a) USD One (US$1); or (b) the amounts you have paid (if any) to Realtek for access to or use of the Site in the twelve (12) months preceding the event giving rise to the claim. Certain jurisdictions may not permit the exclusion or limitation of specific damages; therefore, the foregoing exclusions or limitations may not apply to you to the extent prohibited by law.

Miscellaneous

20. Realtek controls and maintains the Site from the Republic of Singapore and Realtek makes no representation that information on this Site is appropriate or available for use outside Singapore. Those who choose to access this Site from outside Singapore do so on their own initiative and at their own risk and are responsible for compliance with applicable local laws. By using the Site, you consent to having your Personal Data transferred to and processed in Singapore, subject to the restrictions on such data applicable to Realtek. Where personal data is transferred outside Singapore, Realtek will implement appropriate legal, technical and organisational measures to ensure a standard of protection that is at least comparable to that provided under the PDPA, including data processing/transfer agreements, standard contractual clauses, encryption and access controls.

22. These Terms of Use shall be governed by and construed according to the laws of the Republic of Singapore. Any claim relating to the use of the Site shall be heard by the Singapore courts. If you are a consumer, these Terms of Use do not affect any mandatory consumer rights you may have under the laws of your country of residence to the extent such rights cannot be waived or limited by contract.
23. Entire Agreement. These Terms of Use constitute the entire agreement between you and Realtek regarding the Site and supersede all prior or contemporaneous understandings relating to the Site. If any provision of these Terms of Use is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
24. No Waiver. No failure or delay by Realtek in exercising any right under these Terms of Use shall operate as a waiver of that right.
25. Assignment. You may not assign or transfer these Terms of Use or any rights or obligations hereunder without Realtek's prior written consent. Realtek may assign or transfer these Terms of Use without restriction.
26. Notices. Realtek may provide notices to you via the Site, email, or other reasonable means. You should direct legal notices to the contact details published on the Site.
27. Language. If these Terms of Use are translated, the English version shall prevail to the extent of any inconsistency.
